Terms of Service (ToS)

§ 1 Scope and Target Group

(1) These Terms of Service (ToS) apply to all contracts between DJ-Industrieteilehandel, Owner: Danijel Jeremic, Odenwaldstraße 5, 76461 Muggensturm, Germany (hereinafter referred to as the „Provider“) and the customer regarding the use of the eBay Template Generator available at template-generator24.de.

(2) The Provider’s services are directed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), merchants, freelancers, and legal entities under public law (B2B). Consumers within the meaning of § 13 BGB are expressly excluded from using the service and entering into a contract. By concluding the contract, the customer warrants and represents that they are acting in the exercise of their commercial or independent professional activity when using the Generator.

(3) Terms and conditions of the customer that deviate from these ToS shall not be recognized unless the Provider expressly agrees to their applicability in writing.

§ 2 Description of Services

(1) The Provider makes available a web-based eBay Template Generator as Software-as-a-Service (SaaS). This enables the creation of professional eBay listing templates (HTML) as well as the export and import of these configurations as local JSON files.

(2) The customer’s text inputs and configurations are processed primarily locally in the browser and can be exported as a JSON file. Permanent storage of template texts or links on the Provider’s servers takes place only within the scope of an active premium subscription.

(3) The Generator offers, in the paid plans, an integrated function for directly uploading product images to the Provider’s dedicated web server (location: Germany). Uploaded images are stored there on fast NVMe storage and are accessible via a secure HTTPS URL. The customer is solely responsible for the uploaded content. In the free trial, this function is technically disabled.

(4) The image upload is only available with a paid subscription. After cancellation or subscription expiry, images remain online for 30 days. Subsequently, a 14-day “soft delete” phase begins (images moved to trash, offline on eBay, but restorable upon reactivation). After a total of 44 days, all data is permanently deleted.

§ 3 Contract Conclusion and Access Models

(1) The contract is concluded upon successful registration and activation of the respective access. The technical processing, invoicing, and receivables management for paid plans are handled entirely by the reseller Digistore24 GmbH, Hamburg.

(2) The Provider offers the following access models:

a) Free Trial: The customer receives a 2-day (48-hour) free trial. During this period, functionality is limited (no HTML export, no image upload). If the customer does not cancel within 2 days, the trial automatically converts into the selected paid premium subscription, unlocking all features.

b) Premium Monthly Subscription: Paid access with monthly billing and full functionality (incl. HTML export, NVMe image hosting and eBay API integration).

c) Annual Subscription: Paid access with annual advance payment; the minimum term is 12 months from activation.

§ 4 Usage Rights and Intellectual Property

(1) All rights to intellectual property, including but not limited to the source code, software architecture, user interface design, graphics, algorithms, and the specific JSON file structures remain the exclusive property of the Provider.

(2) The customer receives a simple, non-transferable, revocable, worldwide right to use the Generator for the duration of their active paid access.

(3) The generated HTML templates and exported JSON configuration files are the property of the user. The user retains the unrestricted right to use, modify, and upload these to eBay, even after the subscription expires.

(4) The user is strictly prohibited from: reverse engineering, decompiling, or copying the source code; reselling, renting, or white-labeling the software; and using automated bots or scrapers.

§ 5 Customer Obligations

The customer bears sole responsibility for the legal compliance of their eBay listings created with the Generator (including imprint requirements, cancellation policies, price information, and trademark rights). The Provider assumes no liability for the legal admissibility of the created templates.

§ 5a Image Upload and Stored Content

(1) The customer is solely responsible for all content (in particular images) that they upload to the Provider’s servers via the image upload function. The customer warrants that they hold all necessary rights to the uploaded content and that no third-party rights are infringed.

(2) The upload of the following content is expressly prohibited: copyright-protected images without a corresponding license, pornographic or youth-endangering content, content that violates applicable law.

(3) The Provider is entitled to delete unlawful content at any time without prior notice.

(4) The use of the image upload function is exclusively available to customers with an active paid subscription. Uploaded images are stored for the duration of the active subscription. After cancellation or expiry of the subscription, the uploaded images will be deleted within 30 days. The customer is responsible for backing up their images before the subscription expires.

(5) The Provider assumes no guarantee for the permanent availability of uploaded images and recommends that customers create their own backup copies.

§ 6 Remuneration and Prices

(1) All prices stated on the website are net prices plus the applicable statutory value-added tax. Billing is handled via Digistore24.

(2) In the event of late payment, the Provider is entitled to block the customer’s access immediately. The payment obligation remains unaffected.

§ 7 Term and Termination

(1) The 2-day free trial automatically converts into a paid subscription unless the customer cancels before the end of the trial period via their Digistore24 customer account.

(2) The premium monthly subscription renews automatically for a further month unless cancelled with one month’s notice before the end of the respective billing month.

(3) The annual subscription has an initial term of 12 months. Without cancellation in text form at least one month before the end of the respective usage period, it automatically renews for a further 12 months.

(4) Early, pro-rata refunds of amounts already paid for unused periods are excluded.

(5) Cancellations of paid subscriptions can be made directly via the Digistore24 link included in the order confirmation or by email to info@dj-industrielehandel.de.

§ 8 Data Protection

(1) Personal data (name, email) from the purchase via Digistore24 is processed via DigiMember for account management on secure EU servers.

(2) Details are provided in the separate Privacy Policy.

§ 9 Limitation of Liability

The Provider is liable without limitation for intent, gross negligence, and damages resulting from injury to life, body, or health. In cases of slight negligence, the Provider is only liable for the breach of essential contractual obligations, limited to the contractually typical, foreseeable damage. The Provider is not liable for eBay account suspensions, cease-and-desist letters under competition law, or lost profits.

§ 10 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of jurisdiction is Muggensturm/Rastatt.
